TERMS OF USE – DFY
1. Introduction
These Terms of Use govern the general conditions for the use of services offered by DFY, a technological platform operated by D Empreendimentos LTDA, aimed at the management, administration, control, and collection of payment obligations previously established between the User and third parties, originating outside the platform environment.
Through the technological platform made available by DFY, previously registered Users can perform and monitor operations related to collection management, including: registration of payment obligations, issuance and tracking of collections, control of due dates and status, payment registration, reconciliation, organization of information, and operational communication with the involved parties.
DFY acts exclusively as a provider of technological and operational infrastructure for collection management and collection account management purposes, not being a party to the original legal relationship existing between the User and third parties, nor responsible for the creation, validity, content, enforceability, or execution of the payment obligations registered by the User.
Express acceptance of these Terms of Use is a mandatory requirement for access and use of the platform and its respective services. By agreeing to these Terms, the User acknowledges that they have read, understood, and fully accepted the conditions described herein, as well as the legal implications arising from their acceptance.
DFY reserves the right to alter or modify these Terms of Use, with prior communication of such changes to registered Users being mandatory via email and/or notification on the platform, with a minimum notice of 1 (one) business day. Continued use of the services after this communication implies express and full agreement with the new provisions established.
2. Glossary
User Natural or legal person who registers on the DFY platform and uses its services for the management, control, and collection of payment obligations.
DFY Technological platform in the BaaS (Banking as a Service) model, intended for the operational management of collection accounts and the monitoring of flows resulting from collections.
Payment Obligation Payment commitment previously established between the User and third parties, originating outside the DFY platform, including amounts, deadlines, and conditions.
Collection Account Operational structure linked to the User, used for registration, receipt, reconciliation, and control of values resulting from collections.
Involved Parties Natural or legal persons related to the payment obligation, including payers, creditors, service providers, and other relevant third parties.
Registration Set of information and documents provided by the User for identification, validation, and access enablement to the platform.
Authentication Secure access process to the platform through exclusive User credentials.
Credentials User access information (login, password, tokens, and/or equivalents), personal and non-transferable.
Logs Digital records of events, activities, and accesses performed in the system for audit, traceability, and security purposes.
Compliance Set of measures and policies adopted by DFY to ensure compliance with applicable laws, internal rules, and best practices.
AML/CFT Guidelines and procedures for Anti-Money Laundering and Combating the Financing of Terrorism applicable to the use of the platform.
LGPD Law No. 13.709/2018, which provides for the processing and protection of personal data.
Forum Competent locality for the resolution of conflicts arising from these Terms.
3. Acceptance of Terms
3.1 Mandatory Consent
By registering on the DFY platform, the User must expressly declare that they have read, understood, and fully agree with these Terms of Use, through electronic acceptance.
3.2 Implications of Acceptance
By accepting these Terms, the User acknowledges that:
Fully understood the content of this document;
Is aware of the platform's purpose and its usage rules;
Authorizes the performance of internal procedures for registration validation, security, and compliance;
Acknowledges that payment obligations registered on the platform stem from relationships maintained by the User with third parties, outside the DFY environment.
4. Registration and Eligibility
To use the platform, the User must provide truthful, complete, and updated personal or corporate information, including documents necessary for identification, fraud prevention, security, registration integrity, and compliance with internal policies, especially AML/CFT and data protection.
Registration approval is subject to internal analysis by DFY, and there may be additional requests for confirmation, document supplementation, and periodic validations. Approval does not imply validation of the payment obligation registered by the User, nor recognition of its existence, legitimacy, value, or enforceability.
The User is responsible for keeping their data updated. Outdated or inconsistent information may result in restrictions, suspension, or termination of access, according to internal security and compliance criteria.
5. User Responsibilities and Obligations
The User undertakes to:
Provide truthful, complete, and updated information;
Use the platform exclusively for lawful purposes and compatible with its purpose;
Fully answer for the origin, validity, legality, and documentation of payment obligations and registered collections;
Ensure that communications and collection practices carried out with platform support observe applicable legislation and respect third-party rights;
Maintain confidentiality and custody of their access credentials, being responsible for any use made through them;
Immediately inform DFY of any suspicion of unauthorized access, incidents, relevant inconsistencies, or unauthorized use;
Cooperate with validation requests, audits, and internal controls related to security, integrity, and compliance.
6. DFY Responsibilities
DFY undertakes to:
Provide adequate technological infrastructure for the purposes provided in these Terms;
Adopt information security standards and data protection measures;
Ensure traceability and integrity of records through logs and audit trails;
Employ reasonable efforts for platform maintenance, stability, and evolution, including technical corrections when applicable.
DFY is not responsible for:
Default, delay, cancellations, or discrepancies between User and third parties;
Contractual discussions or disputes related to payment obligations;
Legal validity, origin, content, enforceability, or documentation of collections registered by the User;
Damages resulting from incorrect information entered by the User;
Results arising from negotiations, agreements, or dealings made directly between the involved parties.
7. Anti-Money Laundering (AML/CFT)
DFY adopts guidelines and procedures compatible with its operational model, including transaction monitoring, identification of atypical patterns, recording of evidence, and application of internal risk mitigation measures, in accordance with AML/CFT policies and applicable legislation.
When necessary, DFY may request additional information and documents, restrict functionalities, suspend or terminate access, according to security, compliance, and legal requirements.
8. Information Security and Data Protection
Personal data processing rigorously observes current legislation, especially the LGPD, with technical and administrative measures adopted for information protection.
The User undertakes to use and insert third-party data on the platform lawfully, limited to the purpose of collection management and collection account, being responsible for authorizations, legal bases, and necessary communications.
9. Suspension and Termination
Access to the platform may be suspended or terminated, at DFY's discretion, in case of:
Violation of these Terms;
Misuse of the platform;
Evidence of fraud, relevant inconsistencies, or operational risk;
Legal, regulatory, or competent authority determination;
Need to preserve the security, integrity, and compliance of the environment.
DFY may maintain logs and records necessary for audit, security, compliance with legal obligations, and defense of rights, for applicable periods.
10. General Provisions
These Terms are governed by the laws of the Federative Republic of Brazil, electing the forum of the district of the headquarters of D Empreendimentos LTDA to settle any controversies arising from these Terms.
If any provision of these Terms is considered invalid or unenforceable, the others will remain in full force. The failure of DFY to exercise any right does not imply waiver, with the right to exercise it at any time remaining valid.
